These Terms of Service ("Terms") govern your access to and use of Seasonlytics (the "Service"), operated by Yan B. Consultation and Holding Ltd, an Israeli company ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. Service Description

Seasonlytics provides AI-powered analytics tools designed to help Amazon marketplace sellers analyze product trends and performance.

The Service analyzes product identifiers submitted by users, including:

  • ASIN
  • UPC
  • EAN
  • GTIN

Using these identifiers, the Service may:

  • retrieve product information from licensed third-party market data providers
  • analyze product images and metadata using artificial intelligence
  • classify products into subcategories
  • compare products with historical benchmark datasets
  • generate analytical insights such as seasonality patterns and variation performance

Important Disclaimers:

  • Seasonlytics uses aggregated historical marketplace data obtained from third-party providers
  • We are not affiliated with, endorsed by, or sponsored by Amazon or any marketplace platform
  • Data accuracy depends on third-party sources and automated AI analysis
  • AI classification, benchmarking, and generated insights may contain errors, omissions, inaccuracies, or delays
  • Insights are provided for informational and research purposes only
  • Nothing in the Service constitutes financial, legal, investment, tax, or business advice

2. Eligibility

You must be at least 18 years old to use the Service.

By using the Service, you represent and warrant that:

  • you are legally capable of entering into a binding agreement
  • your use of the Service complies with all applicable laws and regulations

3. Account Registration and Security

To access certain features, you must create an account.

You agree to:

  • provide accurate, current, and complete registration information
  • maintain the confidentiality of your login credentials
  • notify us promptly of any unauthorized use of your account or other security incident

You are responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or present security, legal, or operational risks.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may:

  • submit product identifiers for analysis
  • generate reports and insights
  • export reports for your internal business use

You may not:

  • reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying models, or non-public components of the Service
  • scrape, harvest, or systematically extract data from the Service
  • resell, sublicense, redistribute, publish, or commercially exploit generated insights or reports except as expressly permitted by us in writing
  • use automated tools, bots, or scripts in excess of permitted usage limits
  • upload malicious code, malware, or harmful content
  • interfere with, disrupt, or overload the Service or related infrastructure
  • attempt to bypass credits, subscription limits, rate limits, authentication, or security protections
  • use the Service in violation of Amazon's terms, marketplace rules, or any applicable law
  • use the Service for fraudulent, deceptive, or illegal activity

We may monitor usage for security, fraud prevention, service protection, and compliance purposes. We reserve the right to throttle, suspend, or terminate accounts that generate abusive, excessive, or unauthorized usage.

5. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, process, store, and share personal data.

Third-Party Data Providers

The Service retrieves marketplace data from licensed third-party providers.

AI Processing

Product metadata, identifiers, and images may be processed by third-party AI or cloud service providers to classify products and generate insights.

Data Storage

Submitted product identifiers, account data, usage data, and generated reports may be stored to operate the Service, provide historical analysis, maintain performance, and support customers.

Service Improvement

We may use aggregated and de-identified usage data to improve the Service, models, and analytics. We do not publicly disclose individual user data except as described in our Privacy Policy or as required by law.

6. Intellectual Property

Our Property

The Service, including its software, algorithms, models, interfaces, analytics systems, documentation, and related intellectual property, is owned by the Company or its licensors and is protected by applicable intellectual property laws.

Third-Party Data

Marketplace data, product information, and third-party content remain the property of their respective owners and licensors.

Your Data

You retain ownership of the product identifiers and other content you submit to the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, process, analyze, store, and use such data solely as necessary to provide, maintain, secure, support, and improve the Service in accordance with these Terms and our Privacy Policy.

Generated Reports

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use reports and insights generated through the Service for your internal business purposes.

Feedback

Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.

7. Subscriptions, Billing, and Payments

Seasonlytics offers subscription-based plans. Pricing and plan details are available on the Service's pricing page.

Payment Processing

Payments are processed by Paddle, our merchant of record. By purchasing a subscription, you also agree to any applicable Paddle payment and checkout terms.

Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.

Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless canceled before the next billing date.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Unless otherwise stated, cancellation will stop future renewals, and your access will continue through the end of the current paid billing period.

Credits

Some plans include usage credits. Credits:

  • are allocated at the start of each billing cycle
  • do not roll over unless expressly stated otherwise
  • expire at the end of the applicable billing period

Unused credits are forfeited.

Taxes

Where applicable, taxes may be charged by Paddle in accordance with applicable law.

8. Refund Policy

If you are not satisfied with your first purchase, you may request a refund within 14 days of the initial payment by contacting support@seasonlytics.com.

Refunds do not apply to:

  • subscription renewals
  • unused credits
  • partial billing periods
  • cancellations requested after the applicable refund window

Approved refunds will be processed through Paddle or the original payment method, as applicable.

Except as expressly stated in this Section or as required by applicable law, fees are non-refundable.

9. AI and Data Accuracy Disclaimers

The Service relies on automated systems, machine learning models, statistical methods, external data providers, and AI-generated analysis.

You acknowledge and agree that:

  • AI classification may produce incorrect or incomplete results
  • benchmarks and comparisons depend on data quality and classification accuracy
  • historical patterns do not guarantee future outcomes
  • generated insights, scores, probabilities, and confidence indicators are estimates only
  • the Service may contain errors, omissions, delays, or outdated information

You are solely responsible for reviewing and verifying outputs before relying on them for business or commercial decisions.

10. No Advice

The Service is a research and analytics tool only.

We do not provide:

  • financial advice
  • investment advice
  • legal advice
  • tax advice
  • business consulting

Any decision you make based on the Service is made at your own risk.

11. Service Availability and Changes

We aim to provide reliable access to the Service, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

The Service may be affected by:

  • maintenance
  • security events
  • infrastructure failures
  • third-party service disruptions
  • data provider outages
  • AI service downtime

We may modify, update, suspend, or discontinue any part of the Service, including features, integrations, usage limits, or plans, at any time. Where reasonably practicable, we will provide advance notice of material changes affecting paid subscriptions.

12. Beta Features

We may offer experimental, preview, or beta features ("Beta Features").

Beta Features:

  • may be incomplete or unstable
  • may change or be removed at any time
  • may be subject to additional limits
  • are provided without any guarantee of availability, performance, or support

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or availability.

We do not warrant that:

  • the Service will meet your requirements
  • the Service will be uninterrupted, timely, secure, or error-free
  • outputs or insights will be accurate, complete, or suitable for any purpose

Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.

14. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  • 100 USD, or
  • the amount paid by you to us for the Service during the 12 months immediately preceding the event giving rise to the claim

To the maximum extent permitted by law, we are not liable for:

  • lost profits
  • lost revenue
  • loss of business opportunity
  • business interruption
  • loss of goodwill
  • loss of data
  • indirect, incidental, special, exemplary, or consequential damages

These limitations apply even if we were advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Service
  • your violation of these Terms
  • your misuse of generated reports, outputs, or insights
  • your violation of any law, third-party right, or marketplace rule

16. Termination

You may stop using the Service and cancel your account at any time.

We may suspend, restrict, or terminate your access to the Service immediately or upon notice if:

  • you violate these Terms
  • you misuse the Service
  • you fail to pay applicable fees
  • your use creates security, legal, or operational risk
  • we are required to do so by law or by a third-party provider

Upon termination:

  • your right to access and use the Service will end
  • we may delete or deactivate your account and related data in accordance with our retention practices and Privacy Policy
  • fees already paid are non-refundable except as expressly stated in Section 8 or where required by applicable law
  • provisions that by their nature should survive termination will remain in effect

17. Compliance with Data Protection Laws

If you are located in the European Economic Area, the United Kingdom, or another jurisdiction with applicable data protection laws, you may have additional rights regarding your personal data, subject to applicable law.

Such rights may include:

  • access to personal data
  • correction of inaccurate data
  • deletion of personal data
  • restriction of processing
  • objection to certain processing
  • data portability

18. International Data Transfers

The Service may use service providers and infrastructure located outside your country of residence, including outside the European Economic Area and the United Kingdom.

Where required by applicable law, we use appropriate safeguards for international data transfers.

19. Export and Sanctions Compliance

You may not access or use the Service if doing so would violate applicable export control, trade restriction, or sanctions laws.

You represent and warrant that:

  • you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable sanctions or embargoes
  • you are not listed on any applicable government restricted-party list

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Rishon Le Zion, Israel.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection laws.

21. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice by posting the updated Terms on the Service, updating the "Last Updated" date, or by other reasonable means.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the updated Terms.

22. General Provisions

These Terms constitute the entire agreement between you and the Company regarding the Service and supersede any prior or contemporaneous understandings relating to the Service.

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
